The key responsibilities of the Nominations Committee are:

• Management of Board Succession both in terms of elected directors and appointed directors

• Development and Maintenance of Board Skills Matrix which is a key tool for use by the Nominations Committee in Board Succession

• Recruitment of Appointed Board Positions – the Nominations Committee will determine how many appointed positions are available each year and carry out the recruitment and appointment of these positions.

• Election Process for Elected Board Directors - the Nominations Committee will determine how many positions are elected each year. There are up to five elected positions on the Board at any one time. The Committee will ensure the Election process is in accordance with General Meeting and election requirements in the Constitution.

• Recruitment for Casual Board Vacancies

• Board Member Induction and Ongoing Professional Development

• Board Performance Reviews

• Executive HR Management - notwithstanding that the CEO reports to the Chair and Board, the Nominations Committee is responsible for making recommendations to the Chair and Board on matters relating to Executive employment

• Recruitment of key Committee roles which require Independent Appointees

• Maximum Tenure Tracking The Nominations Committee must maintain a tenure tracking system showing
